Which Companies Failed? #

Neither breach needed a nominee charge to prove.1 The first was a tour company also offering diving instruction, with one Thai director out of two, short of the Tourism Business and Guide Act B.E. 2551 rule requiring a Thai majority.1 Its licence was revoked that day. It was also running an unlicensed hostel, and an unpermitted diving instructor went to Immigration.2 Three infractions. One afternoon.

The second operated a branch tour business without a licence; the Department of Tourism opened legal action.1 Complaints go to the Department of Business Development or the 1570 call centre.

Why a Licence Beats a Nominee Charge #

That detail outweighs the headcount. On Koh Phangan and Koh Samui, the instrument was nominee prosecution built on AMLO evidence: land seizures, forced disposal by the Land Department and dissolution by the courts. On Koh Tao it was administrative, resting on a director ratio that already sat in the company's own filing, no bank trail needed, and it suits Thailand's ongoing FATF evaluations better than a slow prosecution.

The underlying prohibition is still the Foreign Business Act: a foreigner may not control a restricted business through a Thai front. Anyone who has read the risks in a nominee company structure will recognise why tourism took the shorter route.

What This Means for Owners #

Anyone holding property through an at-risk property-owning company that also trades under a sector licence, hotel, tour, diving, restaurant or hostel, should read the licence as the softer target. Revocation cuts the trading income servicing the property, no nominee charge needed. A trading business on top of a property-holding structure multiplies exposure. Poonpong also warned consulting firms that register companies and advise investors, echoing the Ministry of Commerce's 2026 messaging.2 That places the adviser who drew up the director list inside the gatekeeper liability frame closing around formation agents this year.

Nine of twelve survived intact: correct shareholding and director composition are auditable in advance.3 Divestment from an at-risk structure typically runs eight to sixteen weeks.
